Copeland Roberts Auction House: Bidder Terms and Conditions

Copeland Roberts Auction House ("Copeland Roberts", "we", "us" or the "Auction House") provides auction services for numismatic items and collectibles. By registering, bidding, purchasing, consigning, or otherwise participating in any auction conducted by Copeland Roberts, you ("Bidder", "Buyer", "Consignor", or "you" as applicable) agree to be bound by these Terms and Conditions.

1. Definitions

Auction House
Copeland Roberts Auction House.

Auctioneer
Copeland Roberts, acting as operator of its auctions.

Bidder
Any individual or entity registered or approved to bid.

Buyer
The successful Bidder for a Lot.

Buyer’s Premium
An additional fee payable by the Buyer, being 22% of the Hammer Price, inclusive of GST where applicable, unless otherwise stated in the relevant auction particulars.

Carrier
Any third party engaged to transport Goods from our Premises to the Buyer or another nominated recipient.

Consignor
Any individual or entity submitting goods for sale.

Goods
Coins and any other items offered for sale or sold by Copeland Roberts, whether by auction or otherwise.

Hammer Price
The final bid accepted by the Auctioneer for a Lot, excluding the Buyer’s Premium and any other applicable charges.

Insurance Premium
An optional charge equal to 2% of the invoice total, payable by the Buyer if the Buyer elects to insure Goods in transit.

Lot
An individual item or group of items auctioned as a single unit.

Premises
27–39 Abercrombie Street, Chippendale, NSW 2008, Australia, or any other premises nominated by Copeland Roberts.

Reserve Price
The minimum price acceptable for a Lot.

2. Registration

2.1 All participants must register before bidding and must provide accurate, complete and current contact details, identification information, payment details and any other supporting documents reasonably requested by Copeland Roberts.

2.2 Copeland Roberts may approve, refuse, suspend or revoke any registration at its sole discretion and is not obliged to provide reasons.

2.3 Registration constitutes acceptance of these Terms and Conditions in full.

2.4 Registrants must be at least 18 years of age and have legal capacity to contract.

2.5 Copeland Roberts may, at its sole discretion:

(a) request references, proof of identity, proof of funds, deposits, credit checks or other supporting information;
(b) verify identity or payment details through third-party providers;
(c) delay, suspend or refuse registration until such checks are completed to its satisfaction.

2.6 Copeland Roberts may require a refundable deposit before granting bidding privileges. Any deposit may be applied against any amount owing by the Bidder or Buyer under these Terms, including the Hammer Price, Buyer’s Premium, shipping, storage charges, interest, resale costs, debt recovery costs and legal costs. Any unused balance will be refunded.

2.7 Any registrant who provides false, misleading or incomplete information may have their registration cancelled immediately and may be reported to relevant authorities, payment providers, trade organisations or other auction houses to the extent permitted by law.

2.8 By registering, the Bidder authorises Copeland Roberts to store and use any nominated payment method in accordance with these Terms.

3. Bidding Process

3.1 Highest Bidder
The highest bid accepted by the Auctioneer shall be the successful bid and the successful Bidder shall be the Buyer.

3.2 Auctioneer’s Discretion
The Auctioneer has absolute discretion to regulate the conduct of the auction, advance bidding, refuse any bid, reopen bidding, withdraw any Lot, combine or separate Lots, and resolve any dispute as it sees fit.

3.3 Starting Bids and Reserve
Bidding may commence at or below the Reserve Price at the Auctioneer’s discretion. No Lot will be sold below the Reserve Price unless authorised by the Consignor or the Auctioneer.

3.4 Absentee and Identical Bids
Absentee bids may be accepted on terms determined by Copeland Roberts. Where identical absentee bids are received, priority will generally be given to the bid received first.

3.5 Bid Retraction
A Bidder may not retract a bid except with the Auctioneer’s consent. Any consent to retract a bid is at the Auctioneer’s sole discretion.

3.6 Errors and Technical Issues
Copeland Roberts is not responsible for any bidding error, delay, omission, platform failure, internet interruption, software malfunction or other technical issue affecting bidding.

3.7 Finality of Sale
Subject to these Terms and to any non-excludable rights under law, all bids are final and binding once accepted by the Auctioneer.

4. Buyer’s Obligations

4.1 The Buyer must pay the Hammer Price plus:

(a) the Buyer’s Premium;
(b) a 2.5% surcharge on the total invoice amount where payment is made by credit or debit card;
(c) any shipping, insurance, storage, handling or other charges identified in the invoice or otherwise payable under these Terms.

4.2 Invoices are due and payable in full within 7 days of the invoice date. Invoices will generally be issued by email within 48 hours of the close of the auction. Buyers must contact Copeland Roberts within 3 business days if they have not received or cannot access an invoice.

4.3 Accepted payment methods are:

(a) bank transfer to the account specified on the invoice;
(b) credit card or debit card, subject to any stated surcharge;
(c) any other payment method approved in writing by Copeland Roberts.

4.4 The Buyer is solely responsible for ensuring payment is sent to the correct account and for any payment reference being correctly included.

4.5 If any invoice is not paid in full within 7 days of the invoice date, the Buyer is in default.

4.6 If any invoice remains unpaid for 14 days after the invoice date, Copeland Roberts may, by written notice to the Buyer:

(a) cancel the sale of any affected Lot;
(b) retain possession of the Lot;
(c) withdraw any agreement to ship or release the Lot; and
(d) resell the Lot by auction, private treaty or otherwise.

4.7 If Copeland Roberts resells a Lot following the Buyer’s default, the defaulting Buyer is liable to Copeland Roberts on demand for:

(a) the Buyer’s Premium and any other charges due on the original invoice;
(b) any shortfall between the original Hammer Price and the resale proceeds;
(c) all storage, handling, insurance, transport, administrative, resale, debt recovery and legal costs reasonably incurred by Copeland Roberts as a result of the default; and
(d) interest on overdue amounts in accordance with clause 4.8.

4.8 Overdue amounts bear interest at the rate of 1.5% per month, calculated daily, from the due date until payment in full.

4.9 The Buyer authorises Copeland Roberts to charge any credit card or debit card provided at registration, bidding or payment for any amount due under these Terms, including the Hammer Price, Buyer’s Premium, GST, shipping, storage, interest, resale costs and any deficiency arising on resale, whether in one transaction or by instalments.

4.10 Copeland Roberts may commence legal proceedings, engage debt collection agents, exercise any right of set-off, apply any deposit held, and take any other lawful recovery action in respect of unpaid amounts.

4.11 Defaulting Buyers may be refused future bidding privileges and may be reported to relevant trade organisations, fraud prevention databases, payment processors or other auction houses for fraud prevention, credit risk management or debt recovery purposes, to the extent permitted by law.

4.12 No release, collection or delivery of any Lot will occur until all amounts owing in respect of that Lot, and any other amounts due under these Terms if demanded by Copeland Roberts, have been paid in full in cleared funds.

5. Ownership, Collection and Delivery

5.1 Title to and ownership of Goods do not pass to the Buyer until all amounts owing in respect of those Goods have been paid in full in cleared funds.

5.2 Copeland Roberts is not required to release, dispatch or make available any Lot until full payment in cleared funds has been received.

5.3 Goods may be delivered by a method chosen by Copeland Roberts unless otherwise agreed in writing. Unless otherwise stated, shipping within Australia will be charged at a flat fee of $25 per invoice.

5.4 Buyers are solely responsible for providing a correct and complete delivery address and contact information.

5.5 Copeland Roberts is not liable for delay, misdelivery, failed delivery, loss or other issues arising from incorrect or incomplete address details supplied by the Buyer.

5.6 A tracking number or dispatch confirmation may be provided as evidence of shipment where applicable.

5.7 Goods are insured while stored at Copeland Roberts’ Premises.

5.8 Buyers may elect to insure Goods in transit for an Insurance Premium of 2% of the invoice total. Transit insurance is optional and must be requested in writing before payment is made.

5.9 Where transit insurance is elected, the Insurance Premium will be added to the invoice and must be paid in full before dispatch.

5.10 Goods shipped without transit insurance are shipped at the Buyer’s risk, and Copeland Roberts is not liable for any loss, theft or damage in transit except to the extent liability cannot lawfully be excluded.

5.11 Copeland Roberts is not liable for customs duties, taxes, seizures, delays, investigations or other issues arising after dispatch, including in relation to international shipments.

5.12 Buyers may collect Goods in person by appointment on at least 48 hours’ notice, provided all amounts due have been paid in full in cleared funds.

6. Representations and Warranties

6.1 Except as expressly stated in these Terms, Goods are sold “as is”, with all faults, imperfections and errors of description, if any.

6.2 Copeland Roberts guarantees the authenticity of Goods sold, subject to this clause and any non-excludable rights under the Australian Consumer Law.

6.3 Descriptions, images, estimates, commentary, historical references and condition reports are statements of opinion only and are provided as guides for Bidders. They are not guarantees.

6.4 Buyers are responsible for making their own assessment of any Lot and for requesting any condition report or additional information they require before bidding.

6.5 Copeland Roberts does not accept responsibility for grading opinions or determinations made by third-party grading services, including PCGS, NGC and PMG.

6.6 Any item submitted after purchase to PCGS, NGC or PMG and determined by that service to be counterfeit may be returned within one year of the auction date. Subject to verification by Copeland Roberts, the Buyer’s sole remedy will be a refund of the Hammer Price.

6.7 Authentication fees, grading fees, shipping costs, insurance costs and any other incidental costs associated with a claim under clause 6.6 remain the Buyer’s responsibility.

6.8 Refunds under clause 6.6 are limited strictly to authenticity disputes. No refund of Buyer’s Premium, shipping, insurance or other incidental amounts will be made unless required by law.

6.9 Where Goods have been made available for inspection, or where a condition report could have been requested prior to the auction, Buyers are deemed to have had a reasonable opportunity to assess the Goods before bidding.

6.10 Buyers who do not request a condition report or inspection before bidding may not later rely on the absence of such a report as grounds for dispute, cancellation or refund, except to the extent required by law.

6.11 No post-auction dispute regarding condition, grade, quality, toning, colour, strike, surface preservation, eye appeal, or similar characteristics will be entertained where the issue was or ought reasonably to have been apparent prior to bidding.

7. Termination and Cancellation

7.1 Copeland Roberts may cancel a sale or withdraw a Lot before dispatch in the event of:

(a) non-payment;
(b) suspected fraud;
(c) material error in the description, listing or auction process;
(d) a dispute as to title or authenticity; or
(e) any other circumstance reasonably justifying cancellation.

7.2 If Copeland Roberts cancels a sale before dispatch other than for Buyer default, the Buyer’s sole remedy is a refund of any monies actually paid in respect of that Lot.

7.3 If Goods are materially below the standard described, Copeland Roberts may, at its election and subject to law, provide a refund, exchange, credit or other remedy it considers appropriate.

7.4 No bid may be revoked after acceptance except with the express written consent of Copeland Roberts.

8. Limitation of Liability

8.1 To the maximum extent permitted by law, Copeland Roberts excludes all liability for any indirect, consequential, incidental, special or exemplary loss, including loss of profit, loss of opportunity, loss of reputation or loss arising from delay.

8.2 To the maximum extent permitted by law, any liability of Copeland Roberts arising out of or in connection with any Lot, auction, listing, condition report, delivery or related service is limited to the Hammer Price paid for the relevant Lot.

8.3 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.

8.4 Any claim arising out of or in connection with these Terms, the auction or any Lot must be brought in New South Wales, Australia, unless otherwise required by law.

9. Force Majeure

9.1 Copeland Roberts is not liable for any failure or delay in performing its obligations where that failure or delay results from events beyond its reasonable control, including natural disasters, industrial disputes, war, civil unrest, pandemic, government action, transport disruption, telecommunications failure, cyber incident or utility interruption.

9.2 Obligations affected by a Force Majeure event are suspended for the duration of that event and for a reasonable period thereafter.

9.3 Copeland Roberts will take reasonable steps to mitigate the effects of any Force Majeure event and resume normal operations as soon as reasonably practicable.

10. Privacy, Data Protection and Communications

10.1 Copeland Roberts collects, stores and uses personal information for auction administration, registration, bidding, payment processing, shipping, fraud prevention, regulatory compliance, debt recovery and related business purposes.

10.2 In cases of non-payment, suspected fraud, chargeback, misuse of bidding privileges or related risk events, Copeland Roberts may disclose personal information to payment providers, debt collectors, lawyers, trade organisations, fraud prevention services, other auction houses or law enforcement authorities, to the extent permitted by law.

10.3 Personal information will be retained only for as long as reasonably necessary for those purposes or as required by law.

10.4 By registering or bidding, you consent to receiving auction-related notices, invoices, payment reminders, bidding confirmations, collection notices and other operational communications by email, phone, SMS or other contact method provided by you.

10.5 Unless otherwise expressly stated, notices and communications to Copeland Roberts must be made by email to contact@copelandroberts.com or by phone to (02) 8318 9782.

10.6 A notice sent by email is deemed received on the next business day after sending if sent on a weekend or public holiday, or otherwise on the day of transmission unless a bounce-back or other failure notice is received.

10.7 Copeland Roberts may send you marketing or promotional communications about its auctions or services. You may opt out of such communications at any time.

11. Amendments and General Provisions

11.1 Copeland Roberts may amend these Terms and Conditions at any time. Any amendment takes effect when published on our website or otherwise notified to users, and will apply to future registrations, bids and purchases unless stated otherwise.

11.2 If any provision of these Terms is invalid, illegal or unenforceable, that provision will be read down to the minimum extent necessary or, if that is not possible, severed, and the remainder of these Terms will continue in full force and effect.

11.3 These Terms constitute the entire agreement between the parties in relation to their subject matter and supersede any prior representation, discussion or understanding to the extent permitted by law.

11.4 No failure or delay by Copeland Roberts in exercising any right under these Terms operates as a waiver of that right.

11.5 Nothing in these Terms confers any benefit or right on any third party, except where expressly stated.

11.6 These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.

The Seller wishes to consign Goods to Copeland Roberts to market and sell on their behalf.
The Seller agrees to these Terms & Conditions when signing or electronically accepting a Consignment Form.

1. Agreed Terms


1.1 These Terms and Conditions apply to all Goods consigned to Copeland Roberts for sale.
1.2 “Agreement” means the signed/e-accepted Consignment Form together with these Terms, in that order of precedence.
1.3 Definitions include: Advance Payment, Auctioneer, Business Day, Buyer, Commission, Consignment Form, Facility, Force Majeure Event, Goods, Guarantee Price, Insurance Value, List Price, Reserve Price, Sale Price, Seller.


2. Agency and Consignment


2.1 The Seller appoints Copeland Roberts as exclusive agent to market and sell the Goods during the Term. The sale contract formed on a successful bid is between Seller and Buyer; Copeland Roberts acts as the Seller’s agent.
2.2 Goods consigned are subject to these Terms upon acceptance.
2.3 The Parties may enter multiple Consignment Forms; each forms a separate Agreement.
2.4 During the Term, the Seller must not market or sell the Goods directly or indirectly, nor request their return, except as permitted herein.
2.5 Copeland Roberts may conduct AML/CTF screening, sanctions checks and proof-of-title enquiries, and may refuse or suspend a consignment if not satisfied.


3. Catalogue Descriptions and Images


3.1 Catalogue descriptions are guides only. Absence of condition notes does not imply fault-free Goods.
3.2 Images are illustrative, not to scale, and not definitive of colour or condition.
3.3 The Seller grants Copeland Roberts a perpetual, royalty-free licence to photograph, film and reproduce images and descriptions of Goods for catalogues, digital media, PR, archives and educational use. Copeland Roberts owns copyright in new catalogue text and images it creates.


4. Auction Dates and Changes


4.1 Copeland Roberts determines auction scheduling, format and type.
4.2 Sellers will be informed of final auction details in their Seller Statement.


5. Authenticity, Title and Warranties


5.1 The Seller warrants:
(a) Goods are authentic and accurately described to the best of their knowledge;
(b) they are the sole legal owner, free of encumbrances; and
(c) Goods are not counterfeit, stolen, illicitly obtained or subject to export/import restrictions.
5.2 Copeland Roberts may obtain expert opinions (e.g., PCGS, NGC, PMG) at Seller’s expense where authenticity is in doubt (with prior notice where practical).
5.3 If a sale is rescinded or refunded due to inauthenticity, lack of title, misdescription or illegality, the Seller must within 7 days repay all sums received for that Lot (including any Advance Payment) and indemnify Copeland Roberts for amounts refunded to the Buyer (including buyer’s premium), reasonable legal costs, shipping and related expenses.
5.4 Copeland Roberts may set-off any sums due from the Seller under this Agreement against amounts otherwise payable to the Seller.


6. Reserves and Estimates


6.1 Copeland Roberts will recommend List Prices and Reserves.
6.2 The Seller sets final Reserves, but Copeland Roberts may reject Goods if reserves are unreasonably high.
6.3 Guarantee Prices may be agreed in writing; Copeland Roberts may protect reserves/guarantees by bidding on the Seller’s behalf up to that level.
6.4 Requests to increase a Reserve within 21 days of the auction may incur a 10% service fee on the new reserve, and Copeland Roberts may revise lotting/placement accordingly.
6.5 Any written agreement on List Price, Reserve or Guarantee (including emails) supersedes prior indications.
6.6 Where Copeland Roberts determines, in its sole discretion, that Goods carry a low estimate of $150 or less:
– such Goods will either be sold without a reserve; and
– Copeland Roberts may, at its sole discretion, group such Goods to create a Lot above that threshold.


7. Sale of Goods


7.1 Goods may be sold by auction, re-auction, private treaty, digital marketplace or direct sale, provided not below Reserve. Starting prices are indicative only.
7.2 If a Buyer defaults, the Seller authorises Copeland Roberts to:
(a) offer the Goods to the underbidder at their last bid;
(b) sell privately at not less than the underbidder’s last bid;
(c) re-auction; or
(d) return the Goods.
7.3 Payment to the Seller will only be made from cleared funds actually received from the Buyer (or replacement Buyer).
7.4 Sellers and their agents are prohibited from bidding on their own Goods. Copeland Roberts may cancel such a sale and retain proceeds.


8. Unsold Goods and Storage


8.1 Unsold Goods may be re-offered with Copeland Roberts’ consent or returned to the Seller.
8.2 If re-offered, Reserves must normally be reduced by 35% from the prior auction.
8.3 Unsold Goods must be collected or consigned for re-sale within 30 days of notice; thereafter storage fees of AUD [$20] per lot per week (or part) may apply.
8.4 If Goods remain uncollected for 60+ days after notice, Copeland Roberts may, after 14 days’ further notice, sell the Goods at no reserve to recover storage/charges, remitting any balance (if any) to the Seller.


9. Payments


9.1 Seller receives the Hammer Price less Commission (normally 10%) and agreed fees.
9.2 Commissions/fees are exclusive of GST unless stated otherwise; GST (if applicable) is added at the prevailing rate.
9.3 Payment to Seller is within 30 days of receipt of cleared funds from the Buyer.
9.4 Guarantee Price: if agreed, the Seller is paid the Guarantee Price (less Commission), even if Sale Price is lower.


10. Advance Payment


10.1 No Advance Payment unless stated in the Consignment Form.
10.2 If paid, Advance Payments are repayable if Goods are withdrawn or a sale is rescinded under Clause 5.3 or Clause 19.


11. Withdrawals


11.1 Goods cannot normally be withdrawn within 42 days of the scheduled auction.
11.2 If withdrawn in that period, the Seller pays 15% of the high estimate plus documented hard costs (photography, catalogue, storage, platform/transport). Copeland Roberts has a lien until paid.
11.3 Copeland Roberts may withdraw Goods at its discretion.


12. Title, Risk and Security


12.1 Risk passes to Copeland Roberts when Goods are delivered to its Facility or collected on its behalf.
12.2 Title remains with Seller until Buyer pays in full.
12.3 Copeland Roberts holds Goods as bailee on Seller’s behalf until title passes.
12.4 Copeland Roberts has a lien over Goods and sale proceeds for any sums owed by the Seller.
12.5 The Seller grants Copeland Roberts a security interest in Goods and proceeds under the PPSA; Copeland Roberts may register and perfect this interest.


13. Insurance


13.1 Copeland Roberts insures Goods under its business policy from the time risk passes until title transfers to Buyer.
13.2 Cover is subject to policy terms, standard exclusions, deductibles and limits.
13.3 Copeland Roberts’ liability for loss/damage is capped at the insurance recovery actually received (less any deductible).
13.4 The Seller waives recourse against Copeland Roberts to the extent loss is covered (or would have been covered) by such insurance and acknowledges the insurer’s right of subrogation.


14. Confidentiality and Marketing Use


14.1 Each party must keep the other’s confidential information secure.
14.2 Permitted disclosures: employees/advisers who need to know, regulators, or as required by law.
14.3 Notwithstanding confidentiality, Copeland Roberts may publish sale results and images (including estimates/hammer) for marketing and market reporting.


15. Limitation of Liability


15.1 Nothing limits liability for death/personal injury caused by negligence, or fraud.
15.2 Each party’s total liability under this Agreement is limited to the lesser of: (a) Insurance Value, or (b) amount actually recovered from the insurer.
15.3 Neither party is liable for indirect or consequential loss (including loss of profit, goodwill or opportunity).


16. Compliance with Laws and Policies


The Seller must comply with all applicable laws and warrants the Goods are not subject to cultural heritage/export restrictions or sanctions.


17. Commencement and Term


The Agreement begins on the Commencement Date in the Consignment Form and ends upon sale/return of Goods and settlement of all accounts.


18. Termination


Either party may terminate immediately if the other commits a material breach (not remedied within 5 days), repeatedly breaches, becomes insolvent, or is unable to perform due to a Force Majeure Event lasting 3 months.


19. Obligations on Termination


19.1 Copeland Roberts will return unsold Goods (subject to lien).
19.2 The Seller must repay any Advance Payments for unsold Goods within 10 Business Days.
19.3 Copeland Roberts may withhold Goods until repayment is made.
19.4 If not repaid, Copeland Roberts may set the Reserve Price = Advance Payment + Commission and sell accordingly (after notice).
19.5 Rights accrued at termination survive; so do provisions intended to survive.


20. General Provisions


20.1 Force Majeure suspends obligations; if > 120 days, either party may terminate on 14 days’ notice for affected Goods.
20.2 Rights are cumulative, not exclusive.
20.3 Relationship: nothing creates partnership or joint venture.
20.4 Assignment: neither party may assign without consent.
20.5 Entire Agreement: supersedes prior understandings.
20.6 Variation: only in writing signed by both parties.
20.7 Waiver: must be in writing; no delay waives rights.
20.8 Severance: invalid terms are severed; remainder continues.
20.9 Notices: in writing to Copeland Roberts, Shop 2, 27–39 Abercrombie Street, Chippendale NSW 2008, or contact@copelandroberts.com; by personal delivery, courier, express post or email. Deemed receipt: personal—when delivered; post—9:00am on 2nd Business Day after posting; courier—on signed receipt time; email—1 Business Day after transmission.
20.10 Mediation: before commencing proceedings (other than urgent relief), parties must attempt mediation in Sydney, NSW administered by an agreed mediator, sharing mediator fees equally.
20.11 Governing Law: New South Wales law; NSW courts have exclusive jurisdiction.


21. Seller Acknowledgment


By consigning Goods, the Seller confirms they have read, understood and agree to these Terms.


22. Amendments


Copeland Roberts may update these Terms with written notice; updates apply to future consignments.
